Seller Agreement

This Seller Agreement ("Agreement") is between Afno Bazar Enterprises Pvt. Ltd. ("AfnoBazar", "we", "us") and any person or entity that registers to sell on the AfnoBazar marketplace ("Seller", "you"). By registering a seller account or listing products, you agree to this Agreement, the Terms of Service, the Privacy Policy, and all marketplace policies referenced here.
1. Relationship of the Parties
AfnoBazar provides an online marketplace and related services. You are an independent seller and the seller and merchant of record for every product you list. The contract of sale is between you and the Customer; AfnoBazar is an intermediary only and is not a party to it. You are solely responsible for your products, listings, pricing, taxes, fulfilment, after-sales service, and compliance with law. Nothing in this Agreement creates a partnership, employment, agency, or joint-venture relationship.
2. Eligibility, Registration and KYC
You must be legally able to conduct business in Nepal and must provide accurate and complete registration, identity (KYC), tax (PAN/VAT where applicable), and bank/payout details. AfnoBazar verifies Sellers before listings go live and may request supporting documents and re-verify at any time. You authorise us to conduct such checks.
3. Listings and Product Compliance
You are responsible for the accuracy of your listings, including titles, descriptions, images, specifications, prices, stock levels, and warranty terms. You warrant that your products are genuine, lawful to sell, safe, and compliant with applicable standards, and that you hold all rights necessary to sell them. You must not list any prohibited or restricted item, counterfeit goods, or content that infringes third-party rights.
4. Orders, Fulfilment and Shipping
You must process and dispatch confirmed orders within the handling time stated on the listing, maintain accurate stock and pricing to avoid cancellations, and package goods appropriately. Repeated late dispatch, cancellation, or failure to fulfil may result in penalties, suspension, or removal.
5. Returns, Refunds and Customer Rights
You agree to honour the marketplace Returns & Refunds policy and the Seller Return Policy, including the Customer's statutory right to return non-conforming goods for a full reimbursement including tax. You authorise AfnoBazar to facilitate refunds and to reconcile refunded amounts and chargebacks against your payouts.
6. Fees, Commission and Payouts
AfnoBazar charges commission and applicable fees as described on the Fees & Pricing page and in your dashboard. We may set off commission, fees, refunds, chargebacks, and amounts you owe against your sale proceeds. Net proceeds are remitted to your registered account on the stated payout schedule, subject to verification and applicable holds.
7. Taxes
You are solely responsible for determining, collecting, reporting, and remitting all taxes (including VAT) arising from your sales, and for issuing valid invoices where required by law.
8. Intellectual Property and Licence
You grant AfnoBazar a non-exclusive, royalty-free licence to use your listing content, trademarks, and images for operating, marketing, and promoting the marketplace. You retain ownership of your content and are responsible for ensuring it does not infringe third-party rights.
9. Prohibited Conduct
You must not engage in counterfeit sales, misleading or fraudulent listings, fake reviews, price manipulation, attempts to divert transactions off-platform, or any conduct that harms Customers or the integrity of the marketplace.
10. Indemnification
You agree to indemnify, defend, and hold harmless AfnoBazar, its affiliates, and their directors, officers, and employees from and against any and all claims, demands, liabilities, losses, damages, fines, penalties, and expenses (including reasonable legal fees) arising out of or relating to your products, listings, acts or omissions, breach of this Agreement, infringement of any third-party right, or violation of any law. This obligation survives termination.
11. Limitation of Liability
To the maximum extent permitted by law, AfnoBazar shall not be liable to you for any indirect, incidental, special, or consequential damages or loss of profits, and AfnoBazar's total aggregate liability under this Agreement shall not exceed the commission actually received by AfnoBazar from you in the three (3) months preceding the event giving rise to the claim. Nothing limits any liability that cannot be limited by law.
12. Suspension and Termination
AfnoBazar may suspend, restrict, or remove listings or your account, withhold payouts pending investigation, and report unlawful conduct to authorities, where you breach this Agreement or applicable law or where necessary to protect Customers or the marketplace. You may close your account subject to fulfilling outstanding orders and obligations.
13. Disputes, Governing Law and Grievances
This Agreement is governed by the laws of Nepal, and the courts of Nepal shall have jurisdiction, subject to our Dispute Resolution policy. Grievances may be raised through our Grievance Redressal mechanism. Contact [email protected].
14. Changes
We may amend this Agreement and the marketplace policies from time to time. Continued use of the marketplace after changes are posted constitutes acceptance.
