These Terms of Service ("Terms") govern your access to and use of afnobazar.com.np, the AfnoBazar mobile applications, and related services (together, the "Platform"), operated by Afno Bazar Enterprises Pvt. Ltd. ("AfnoBazar", "we", "us", "our"), a company registered in Nepal (Company Registration No. 241825; DoCSCP e-commerce Listing No. [to be inserted]), registered office at Sallaghari, Bhaktapur, Nepal. By accessing or using the Platform, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Nature of the Platform — Intermediary Only
AfnoBazar operates an online multivendor marketplace that enables independent third-party sellers ("Sellers") to list and sell goods to buyers ("Customers"). AfnoBazar acts solely as an intermediary and technology platform. Unless an item is expressly identified as sold by AfnoBazar, the Seller — not AfnoBazar — is the seller and merchant of record, and the contract of sale is formed directly between the Customer and the Seller. AfnoBazar is not a party to that contract and does not manufacture, own, or control the goods listed by Sellers. The Seller is solely responsible for the existence, quality, safety, legality, description, pricing, packaging, warranty, and fitness of its products and for fulfilling its obligations to Customers.
2. Eligibility and Accounts
The Platform is intended for individuals at least eighteen (18) years of age and competent to contract under the laws of Nepal. You agree to provide accurate, current, and complete information and to keep it updated, and you are responsible for the confidentiality of your credentials and all activity under your account. We may refuse, suspend, or terminate accounts for inaccurate information, suspected fraud, or breach of these Terms.
3. Orders, Pricing and Payment
All orders are offers to purchase, subject to acceptance by the Seller and to availability. You warrant that you are authorised to use any payment method you select and that your information is accurate. Prices, charges, and taxes are shown before you confirm payment. We or the Seller may refuse or cancel an order — including after it is placed — for reasons including unavailability, errors in price or product information, suspected fraud or abuse, or breach of these Terms; where payment was made, it is refunded under our Returns & Refunds policy.
4. Returns, Refunds and Consumer Rights
Returns and refunds are governed by our Returns & Refunds policy, which forms part of these Terms. Nothing in these Terms limits or excludes any right you have as a consumer under the Consumer Protection Act, the Electronic Commerce Act, or other applicable laws of Nepal, including the right to return non-conforming goods and obtain a full reimbursement.
5. Acceptable Use and Prohibited Conduct
You agree not to: (a) violate any law or regulation; (b) infringe the intellectual property, privacy, or other rights of any person; (c) list, sell, or buy any item covered by our Prohibited & Restricted Items policy; (d) post false, misleading, defamatory, or fraudulent content, reviews, or ratings; (e) transmit malware or spam, or engage in denial-of-service or scraping; (f) impersonate any person or misrepresent affiliation; or (g) interfere with the operation or security of the Platform. We may remove content, restrict features, and suspend or terminate accounts that breach this clause.
6. Seller Listings and Third-Party Content
Listings, descriptions, images, prices, and other content are provided by Sellers and third parties. While AfnoBazar conducts reasonable due diligence and Seller verification and operates a notice-and-takedown process (clause 8), AfnoBazar does not guarantee the accuracy or reliability of Seller content and is not liable for it, except to the extent required by applicable law.
7. Intellectual Property
The Platform and all content provided by AfnoBazar — including software, design, text, graphics, logos, and trademarks — are owned by or licensed to AfnoBazar and protected by law. You may not copy, modify, distribute, or create derivative works for commercial purposes without our prior written consent. Product trademarks and content belong to their respective owners.
8. Intellectual Property Complaints (Notice-and-Takedown)
If you believe content on the Platform infringes your rights, send written notice to [email protected] (subject "IP Infringement") identifying the protected work, the allegedly infringing listing (with URL), your contact details, and a good-faith statement that the use is unauthorised. On receipt of a valid notice we will review and, where appropriate, remove or disable the listing and may suspend repeat infringers. This is without prejudice to other rights or remedies.
9. Disclaimers of Warranty
To the maximum extent permitted by law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation. AfnoBazar does not warrant goods or services offered by Sellers.
10. Limitation of Liability
To the maximum extent permitted by applicable law, AfnoBazar and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform or any transaction with a Seller. To the maximum extent permitted by law, AfnoBazar's total aggregate liability arising out of or relating to the Platform or any order shall not exceed the total fees or charges actually received by AfnoBazar in respect of the transaction giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other non-excludable liability.
11. Indemnification
You agree to indemnify and hold harmless AfnoBazar and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Platform, your content, or your violation of any law or third-party right.
12. Dispute Resolution and Grievances
Disputes between Customers and Sellers are handled under our Dispute Resolution policy. Complaints relating to goods, services, or the Platform may be lodged through our Grievance Redressal mechanism, operated in accordance with the Electronic Commerce Act of Nepal.
13. Suspension and Termination
We may suspend or terminate access to all or part of the Platform at any time, with or without notice, for conduct we reasonably believe violates these Terms or applicable law or may harm users, Sellers, or AfnoBazar. Provisions that by their nature should survive termination (including clauses 7, 9, 10, 11, 14) will survive.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Nepal, without regard to conflict-of-law principles. Subject to our Dispute Resolution policy, the courts of Nepal shall have exclusive jurisdiction, save that we may seek injunctive relief in any competent court.
15. Force Majeure
AfnoBazar shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, strikes, war, civil unrest, governmental action, power or network failures, or disruptions to logistics or payment infrastructure.
16. Changes to these Terms
We may amend these Terms from time to time; the "Last updated" date reflects the latest revision. Continued use of the Platform after changes are posted constitutes acceptance.
17. Severability and Waiver
If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of it.
